Healthcare+ B2B Platform – Terms and Conditions for Sellers

The Healthcare+ B2B Matchmaking Platform (“the Platform”) is operated by EverRise Biomedical Co. Ltd. (EVERRISE). It aims to connect sellers (i.e., suppliers) in the medical, biotech, and related technology sectors with buyers. The Platform facilitates online and in-person matchmaking activities to promote business collaboration, exports, and global growth.

1. All intellectual property rights, including but not limited to text, graphics, logos, button icons, images, files, data, website structure, and page layout, are legally owned by or licensed to EVERRISE.
2. You may use publicly available content from EVERRISE websites for non-commercial purposes, provided that the content source is credited and, where possible, linked back to the original EVERRISE website.
3. Some content may be related to third-party copyright and require authorization from the third party. Users are responsible for obtaining proper permission before using such content.

1. Web pages and content formats are subject to change; using automated scraping or data capture tools is prohibited.

The Platform may include links to third-party websites. EVERRISE is not responsible for the accuracy, completeness, or security of any third-party content accessed via such links.

1. The information on the Platform is provided for reference only. While we strive for accuracy, EVERRISE does not guarantee the content's timeliness, reliability, or completeness.
2. You use the website and download content at your own risk. EVERRISE is not liable for any damage to hardware, software, or data that results from EVERRISE such use.

1. EVERRISE may retain data submitted through the Platform, including communication records and profile information, for up to twelve (12) months.
2. EVERRISE may delete or anonymize such data after the retention period without further notice.
3. Users are responsible for backing up any critical data they wish to retain.

All data handling and information security procedures follow EVERRISE’s internal protocols and comply with relevant regulations.

1. Matchmaking Policy
   1. All matchmaking communications and meeting arrangements between sellers and buyers must be made through the Platform only.
   2. The Platform coordinates meeting schedules and locations (physical or virtual) and provides technical support for the sessions.
   3. One-way request system: only sellers may initiate meeting requests to buyers.
   4. Buyers have up to 14 calendar days to accept or decline the request. If there is no response, the request expires and the pre-authorization is canceled.
   5. Meeting details cannot be changed on the Platform once they are confirmed and paid. If you wish to reschedule after confirmation, please click Contact Us and complete the form with your details.
2. Payment Terms
   1. Credit Card Pre-Authorization
      • A pre-authorization of NT$3,000 will be applied to suppliers when submitting a meeting request.
      • The Platform will only charge the amount if the buyer accepts the meeting request.
      • If the buyer declines or does not respond within 14 days pre-authorization will be voided.
   2. Confirmed Meeting
      • When a buyer accepts the request, the pre-authorized amount will be charged.
      • The payment confirms your participation and is non-refundable, except under specified conditions below.

Refunds are only available under the following limited conditions:

1. Buyer No-Show
   1. If the buyer fails to join or attend the scheduled meeting.
   2. You must submit a Post-Meeting Survey within 48 hours and provide relevant documentation.
2. Force Majeure
   1. Events beyond reasonable control (e.g., natural disaster, war, pandemic lockdowns).
   2. Supporting documents or official verification may be required.
3. Additional Refund Conditions
   1. Refund requests are subject to manual review and must meet the abovementioned criteria.
   2. Refunds will not be granted due to:
      • Supplier-initiated cancellations
      • Scheduling conflicts or business reprioritization
      • Technical issues from the supplier’s side (e.g., internet problems)
   3. Refund processing may take up to 30 business days.
   4. Refunds will be issued only to the original payment method.

1. To maintain the integrity of the Platform, suppliers must not:
   1. Directly contact buyers through unofficial channels other than the Platform
   2. Share contact details without Platform consent
   3. Arrange independent meetings to bypass the Platform
   4. Redirect buyers to other services or platforms
2. Consequences for Violations
   Violating these terms may result in:
   
   1. Immediate suspension from the matchmaking program
   2. Forfeiture of any paid fees
   3. Permanent ban from future services
   4. Legal or disciplinary actions as deemed necessary by EVERRISE.

1. Professional Standards
   Seller commits to maintaining respectful, professional communication with buyers, upholding confidentiality, and complying with ethical business practices throughout the matchmaking process.
2. Limitation of Liability
   The seller acknowledges that EVERRISE facilitates introductions but does not guarantee the qualification of the buyers and the business outcomes between buyers and sellers. All negotiations and decisions are made directly between buyers and suppliers; the seller shall indemnify and hold harmless EVERRISE in respect of all actions, claims, and demands brought or made and all expenses (including legal fees and costs), fines and penalties incurred or suffered to the extent the same arise from the buyers and shall negotiate and pay all obligations to the buyers.
3. Indemnification
   The seller agrees to defend, indemnify, and hold harmless EVERRISE from and against any loss, damage, liability, cost or expense, including but not limited to attorneys' fees, experts' fees, and court fees, arising out of or in connection with the seller's breach of any provision of these Terms and Conditions.

1. Platform Rights
   EVERRISE reserves the right to suspend participation, remove profiles, or take necessary action for violations of these terms at any time EVERRISE deems appropriate.
2. Notice
   All notices, demands, requests, or other communications under these Terms and Conditions, when sent by EVERRISE via e mail to the seller’s e mail address registered in the Platform, shall be deemed duly served. If the e mail address is invalid or the e mail is returned as undeliverable, such notice shall nonetheless be deemed effectively served on the date it was sent.
3. Governing Law and Dispute Resolution
   These Terms and Conditions shall be governed by and construed under the Republic of China (Taiwan) laws. Any dispute, controversy, difference, or claim arising out of, relating to, or in connection with these Terms and Conditions, including any question regarding its existence, validity, breach, or termination, shall be subject to the exclusive jurisdiction of the Taiwan Shilin District Court as the court of first instance.
4. Taxes
   EVERRISE and the seller shall bear their respective taxes under applicable laws and regulations.

EVERRISE reserves the right to update or modify the website's contents. Changes will become effective 15 days after the seller’s receipt of the notice from EVERRISE. The seller may terminate these Terms and Conditions within 15 days of receiving such notice.

By using the Platform and submitting meeting requests, you confirm that you have read, understood, and agree to comply with all the abovementioned terms. This includes but is not limited to intellectual property usage, payment and refund policies, and conduct requirements.
